Louisiana 4X4 Constitution and By-Laws Rev. 4
1. This organization shall be known as the Louisiana 4X4 Club.
1. This Louisiana 4X4 Club is organized as a non-profit organization for the purpose of:
Providing social, educational and recreational activities for its membership.
To promote the sport and pastime of four wheel drive travel in all phases.
To promote interest in the ownership and driving of four wheel drive vehicles.
To promote, organize and hold outings, meetings, runs, excursions, trail riding,
hill climbs, cross country trips and similar events.
Membership & Dues
Owners of four wheel drive vehicles and their families are eligible for membership in the Louisiana 4X4 club.
Membership extends to the legal (not to include a common law marriage) spouse, children 18 or older living at home. Each are considered a voting member and are capable of holding office.
Voting power of normal club business is restricted to each member in good standings eighteen years of age or over.
Voting power for elections is restricted to each member In good standing for at least 90 days, eighteen years of age or over, and has participated in a minimum of one club activity 90 days prior to the elections.
All members must conduct themselves in a respectable and orderly fashion whether in or out of club activities.
Applicants for membership must have a valid driver's license and insurance coverage on their vehicle.
Due for this organization shall be $50. Yearly membership starts March 1st or when payment is made and ends the last day of February. (Not Prorated)
Members delinquent over two months (after May 1st) will lose voting privileges.
All personal expenses shall be bore by each individual and are not to be arranged for in
any manner by the club.
Members shall immediately notify the secretary upon change of Email address or telephone number.
A non 4X4 owner may be accepted into the club, but shall hold no office in the club.
A member may be removed by unanimous vote from the board.
1. Members who adopt and sign the by-laws of the Louisiana 4X4 Club on or before July 1, 1995, shall be known as charter members of the organization and shall be considered life-time members, dues exempt. Charter members must fill out an application annually to remain in good standings.
Article V Meetings
Meetings of the membership of the Louisiana 4X4 Club shall be held once monthly at such times and places as may be designated by the executive committee.
20 members in good standing shall constitute a quorum for a membership meeting.
Administration of Officers and Board Members
The officers of the Louisiana 4X4 Club shall consist of a President, Vice- President, a Secretary and a Treasurer, and shall be known as the executive committee. It shall be their duty to draw up an agenda for membership meetings.
The Board Members of the Louisiana 4x4 club shall consist of 7 members. 4 executive officers, one past president, one voted by the members known as the Member-at-Large, and one appointed by the newly elected executive committee.
If the immediate past president does not accept the board position the position will be offered to all past officers who are currently in good standings before being open to the general membership.
The appointed member will be announced at the next club meeting following the election.
No officers shall be added to the club except by the vote of the majority of the entire voting membership of the club.
Term of office shall be two years.
An elected officer or board member may repeat in the same role.(no term limits)
Duties and Powers of Officers
The President shall preside over all membership and board meetings and shall be present at all events when possible. He/She must sign all checks with the Treasurer, unless both are members of the same family.
The Vice-president shall, in the absence of the President, serve in that capacity. He/She shall also serve as parliamentarian and perform such other duties as may be assigned by the President.
The Treasurer shall keep accurate and complete records of the funds and accounts of this organization, shall collect all dues and maintain a record thereof. He/She shall make only such disbursements from the funds of the organization as are directed by the President and Article VIII hereof.
The Secretary shall keep and preserve all records and minutes of the meeting of the regular membership and the ledger roll call and determine the number of voting members present so it may be known if a quorum is in attendance, shall keep a file system of membership, shall receive and answer all general correspondence pertaining to the organization. He/She shall sign checks with the Treasurer in the event the President and Treasurer are members of the same family.
Expenditures and Finance
All moneys received from all sources shall immediately be turned over to the Treasurer to be deposited in the checking account of the Louisiana 4X4 Club. Which account shall require two signatures, the President and the Treasurer, or the Secretary and the Treasurer if the President and Treasurer are in the same family.
No withdrawal from funds shall be made without the approval of the Executive Committee. Single expenditures in excess of One thousand dollars ($1000.00) must have an approval of the majority of a voting quorum of the membership. All expenditures shall be made by check, or electronic payment.
Article IX Committees
1. Committees shall be designated by the President. Each committee shall be assigned by the President to an executive committee member who shall be responsible for its activities and who, with the approval of the President, will appoint a committee chairman.
2. Trail Guide Committee shall consist of a group of volunteers to assist in planning and conducting off-road events. Members of this committee will be allowed to remain on the committee until he or she decides to step down or two-thirds of the committee has voted that member out.
Election of Officers and Member at Large
The membership shall meet and elect officers every even numbered year at the regular June meeting. The newly elected officers shall take office on July 1st.
A nominating committee consisting of a chairman and two members in good standing shall be appointed by the President to nominate one or more candidates for President, Vice-president, Secretary, and Treasurer. The nominating committee chairman will present candidates at the May meeting. At which point nominations for member-at-large and nominations from the floor for club officer will be allowed (May meeting only). It is then the responsibility of the nominating committee to verify all nominees meet the requirements to run for office. The final ballot shall be announced via email to each member in good standing at least two weeks prior to the general election. Once the final ballot is sent the ballot is closed.
The candidates for office must be regular members in good standing for at least 12 months. Candidates must also be active with club functions, and must be capable of hosting off-road events. The candidates for the office of Treasurer must be bondable, the bond to be paid for by the club.
Member at large must be a member in good standing for a minimum of 12 months and attend club functions and regularly attend club meetings.
An election committee made up of the club Secretary and two members appointed by the membership not involved in the election will be announced at the May meeting.
Balloting for each office shall be held by secret ballot. All ballots for office must be counted and checked by the election committee.
Voting shall be done in person or with an absentee ballot.
Absentee voting is restricted to members in good standing for at least 12 months and must have attended a club function 9 out of 12 months leading up to the election.
You must request a ballot from an election committee at which time you will be instructed on how to place your vote.
A majority of votes cast is necessary for election to an office.
In the event of a vacancy in the office of Vice-president, Secretary, Treasurer, or Member at Large an election shall be called to elect a successor. Following normal election procedure.
Article XI Recall
1. Any officer of the Louisiana 4X4 Club may be recalled by a two-thirds majority vote of the entire membership.
Article XII Events
All events shall be subject to approval by the executive committee. Events will be under the direction of a trip leader appointed by the President.
All members, including the President, Vice-president, Secretary and Treasurer are responsible to the direction of the appointed trip leader and his appointed assistants from the set time of the beginning of an event to the termination of the event. At no time has any member or officer the right to demand any unscheduled stop or change in route or plan. No provision is to be made to permit any member to join an event at any location or time other than the location and said time decided upon the event if such provision causes any change of time, any stop, any delay or change of route.
All events must be conducted in an orderly manner and with safety as the prime factor. Any event held on private property will be subject to liability release.
Vehicles must have a member present at all times to fall under the membership category. A vehicle owned by the member participating in the ride without the member present in the vehicle will be treated as a non- member.
No member or guest under the age of eighteen (18) years of age will be permitted to drive in any event unless accompanied by or with written permission of parents or guardian.
All competition events shall be under the direct authority, supervision, and control of the executive committee. The executive committee shall determine entrance classifications and regulations for various events and shall approve trophies and awards to be presented. Vehicles may be subject to technical inspection varying according to the type of event and shall be disqualified if found to be mechanically unsafe.
Article XIII Amendment
These by-laws may be amended by two-thirds majority vote at a regular membership meeting. A quorum being present (are required to) and voting. Any amendment to the by-laws must be presented to the membership at the regular membership, meeting preceding that in which the vote is taken.
